Collaboration Agreement between [GALLERY NAME] and SAND SNC

This Collaboration Agreement ("Agreement") is entered into between [GALLERY NAME], with a business address at [ADDRESS] ("Gallery"), and SAND SNC, with a business address at Via Degli Abeti 6, 6962 Lugano Switzerland ("Framebook").

Purpose of Agreement: The purpose of this Agreement is to establish a collaboration between the Gallery and Framebook for the production and sale of custom framebooks featuring the Gallery's artwork.

Services to be Provided by Framebook: Framebook will create custom framebooks using images of the Gallery's artwork provided by the Gallery. Framebook will also provide design and layout services for the framebooks. The framebooks will be made available for sale to the Gallery's customers.

Services to be Provided by Gallery: The Gallery will provide Framebook with high-quality digital images of the artwork to be featured in the framebooks. The Gallery will also promote the sale of the framebooks to its customers.

Pricing and Payment: Framebook will provide the Gallery with a discounted price for the custom framebooks. The Gallery will be responsible for collecting payment from its customers and remitting payment to Framebook. Payment terms will be agreed upon by both parties in writing.

Intellectual Property: The Gallery represents and warrants that it has the right to use and provide the images of the artwork to Framebook for the purposes of creating the custom framebooks. Framebook acknowledges that the images of the artwork are the property of the Gallery and agrees not to use the images for any purpose other than the creation of the custom framebooks without the Gallery's express written permission.

Term and Termination: This Agreement will begin on the date of signing and will continue until terminated by either party upon written notice to the other party. Upon termination, any outstanding orders will be completed by Framebook and delivered to the Gallery in accordance with the terms of this Agreement.

Confidentiality: Both parties agree to keep all confidential information shared during the course of this Agreement confidential and not to disclose such information to any third party without the other party's express written consent.

Governing Law: This Agreement will be governed by and construed in accordance with the laws of [STATE OR COUNTRY]. Any disputes arising from this Agreement will be resolved through arbitration in accordance with the rules of the American Arbitration Association.
